1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and TeamWSP (“we,” “us” or “our”), concerning your access to and use of teamwsp.com as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). By accessing the Site, you agree to be bound by these Terms.
2. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. Deliverables produced under a signed engagement agreement transfer to the client per the terms of that agreement.
3. User Representations
By using the Site, you represent and warrant that: (1) all information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Service; and (4) you will not use the Site for any illegal or unauthorized purpose.
4. Services and Engagements
Specific services, scope, timelines, deliverables, and fees are governed by a separate written engagement agreement (Statement of Work) signed by both parties. Nothing on the Site constitutes a binding offer to provide services.
5. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site, to the maximum extent permitted by applicable law.
6. Governing Law
These Terms and any separate agreements shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Disputes arising in connection with these Terms shall be resolved by the competent courts at our principal place of business.
7. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date above reflects the most recent revision. Continued use of the Site after changes constitutes acceptance of the revised Terms.
